      In accordance with Art. 438 of the Civil Code of the Russian Federation, confirmation of accession to the Rules (conclusion of an Agreement) is recognized as the acceptance by a person (potential Participant) of all the conditions specified in the Rules, by:


      A) sending to the Auction Organizer the Consent to join the Rules in the form established by the appendix to the Rules. The person submitting the Consent understands and agrees that the Consent to join the Rules is a one-sided document, and therefore the signature of the Organizer’s representative on it is not mandatory by law.


      B) performing a combination of the following actions: familiarizing yourself with these Rules in electronic form () and then placing a tick in front of the words “I have read the Rules and agree to comply with their terms.       In case of disagreement with any condition(s) of the Organizer's offer, the corresponding person must refuse the Contractor's services and join the Rules by refusing to take actions confirming joining the Rules.


      Auction Rules


      The Contractor provides the Participants with the service of organizing access to the Electronic Platform, where the Participants - potential buyers independently search and select options (offers) posted by the Organizer for the purchase of vehicles, GOTS for ownership, including in accordance with the search parameters (criteria) established by the Participant, and They also, at their own request, take part in auctions for selected vehicles, GOTS with the aim of concluding a drop-sale agreement if recognized as the winner of the auction.


      The rights and obligations of the Parties, the procedure for paying for the Organizer’s services, conducting the auction, the responsibility of the Parties, the grounds and procedure for terminating the Agreement, as well as other conditions for the provision of services by the Organizer are defined in the relevant sections of the Auction Rules.


      The terms of the Rules may be changed (added) by the Organizer unilaterally, either in full or in part (including within the framework of individual promotions).


      Relevant announcements of changes are posted on the Electronic Platform and are valid from the day following the day the announcement is posted, unless a different period of validity is separately specified in the announcement itself.

      General provisions

      2.1.

      These Rules determine the procedure for conducting an auction in electronic form, the conduct of which is ensured by the Auction Organizer.

      2.2.

      Participants who have passed accreditation, gained access to the electronic platform and paid the Organizer a fee for participation in the manner and amount established by these Rules can participate in auctions.

      2.3.

      Participation in the auction gives the Auction Participant the right to select and acquire ownership of damaged vehicles or usable remains of vehicles sold at the auction on the basis of a purchase and sale agreement concluded at the end of the auction.

      2.4.

      The Participant undertakes to keep secret and not disclose to third parties information about other Participants that became known to him through correspondence related to the activities of the electronic platform, or as a result of a transaction concluded through an auction.

      2.5.

      The Organizer and the Participant recognize the legal force of notifications and messages sent by the Auction Organizer to the Auction Participant at the contact email addresses specified by him during accreditation. These messages are equivalent to notifications executed in simple written form, sent to the Participant’s postal addresses. The Organizer and the Auction Participant, in the event of any disagreement regarding the facts of sending, receiving messages, the time of their sending and content, came to an agreement: to consider the evidence of the Organizer's archival service as reliable and final for resolving disagreements between these persons.

      2.6.

      If the Auction Participant does not take part in the auction for more than 3 (three) months in a row, his account is subject to cancellation, and the Agreement is considered unilaterally terminated by the Participant.

      2.7.

      The Auctioneer reserves the right not to post or publish any materials on the Electronic Site, and to destroy, remove or edit any materials at any time, in its sole discretion, without providing any notice or incurring any liability.

      2.8.

      Amendments (additions) to the Rules are carried out by the Organizer by mandatory posting of these changes (additions) on the Electronic Platform at .

      2.9.

      Any changes and additions to the Rules apply to all Participants, including those accredited before the date of entry into force of the changes (additions). Any changes (additions) come into force and become binding on the next day after the day the announcement is posted on the Electronic Platform, unless a different period is specified in the announcement itself. In case of disagreement with the changes, the Participant has the right to delete his account and terminate the Agreement unilaterally.

      2.10.

      The Participant accepts the Electronic Platform as software “as is”, without making any claims to its functioning and without any guarantees from the Contractor regarding the performance and uninterrupted operation of this software, compliance with the specific goals and expectations of the Participant, and also does not provide any other guarantees expressly not specified in these Rules. Questions and complaints related to the use/inability to use the Electronic Platform, as well as its functionality, should be sent to: .

      2.11.

      The Contractor, being the copyright holder of the Electronic Platform as an object intellectual property, free of charge, under the terms of a simple (non-exclusive) license, provides the Participant with a non-transferable right to use the Electronic Platform in all countries of the world, namely the right to use the Electronic Platform and its explicitly provided functionality for its intended purpose - to select vehicles, GOTS and participate in acquisition auctions they are owned, for the purpose of which it is possible for the Participant of the Electronic Platform to reproduce them in the manner usually accepted for Internet sites through appropriate certified software (Internet browsers).


    1. Registration and access of participants to the auction

      3.1.

      Access to the auction on the electronic platform is closed, that is, a person who has completed (completed) accreditation and gained access to the auction can become a Participant.

      3.2.

      To obtain the opportunity to participate in the auction, a person wishing to become a participant sends a package of documents specified in the “Cooperation” section on the website to the email address: indicating the necessary information established by the Auction Organizer.

      3.3.

      The auction organizer, having received full package documents in accordance with approved requirements, checks the provided data.

The organizer is not obliged to provide explanations regarding its decision on accreditation or refusal of accreditation.

      3.5.

      The registered Auction Participant independently ensures the confidentiality of the received login and password and bears full responsibility for all actions related to their use resulting from the unauthorized use of the login and password.

      3.6.

      A person wishing to become an Auction Participant must provide the following documents during accreditation:

      3.6.1.

      3.6.2.

      To an individual:

      • Commercial proposal for cooperation in the field of acquisition of GOTS. The letter must indicate:

        —full name and full passport data;

        -mailing address;

        —contact numbers, mandatory email address through which information will be exchanged;

      • Consent to adhere to the Rules (Appendix 3);
      • consent to the processing of personal data (Appendix 1).

      Admission of individuals to participate in the auction is agreed upon by the Auction Organizer only in individual cases.

      3.7.

      Confirmation of accreditation and conclusion by the Organizer of an Agreement with the Participant by joining it to these Rules is email, sent to the person at the email address he specified when filling out the registration form with information about assigning him a personal login and password (account).

      3.8.

      The Organizer reserves the right to refuse accreditation and not to enter into an Agreement with a person wishing to become a Participant for any reason without explanation. In particular, the Auction Organizer has the right to refuse accreditation and not to enter into an Agreement with a person wishing to become a Participant on the following grounds:

      3.8.1.

      failure to provide documents and information specified in clause 3.6. of these Rules, as well as when providing incomplete or unreliable documents and information.

      3.8.2.

      provision of documents that do not meet the requirements established by law Russian Federation.

      3.9.

      The auction organizer maintains a register of bidders who have received accreditation, as well as storing and processing their data in accordance with the Consent to the processing of personal data (Appendix 1).

      3.10.

      The auction organizer, in case of doubts about the reliability of the information and documents provided by the Auction Participant, during the entire term of the Agreement has the right to request additional information and (or) demand confirmation of previously provided information. In cases where the Participant does not provide and (or) does not confirm the information requested by the Auction Organizer within 5 (five) business days from the date of sending the request, the Organizer has the right to suspend the Participant’s access to the electronic platform. All of these restrictions can be lifted within 3 (three) business days from the date the Auction Participant provides the requested information. In case of failure to provide the required information within 30 (thirty) calendar days from the date of suspension of access, the Organizer has the right to cancel the accreditation of the Auction Participant and terminate the Agreement unilaterally without additional notice to the Participant. When exercising the rights specified in this paragraph, the Organizer does not bear any financial liability to the Participant.

      3.11.

      The auction organizer reserves the right to unilaterally suspend or cancel the Auction Participant's access to the electronic platform in the event of failure by the Participant to comply with these Rules, in case of doubts about the conscientious execution of the Rules, as well as other cases entailing infringement/violation of the rights of third parties. In this case, the Agreement with the Participant is considered suspended in the event of suspension of the Participant’s access or terminated in the event of cancellation of accreditation.


      The Organizer is not obliged to provide explanations to the Participant regarding his decision to suspend access or cancel accreditation. The Organizer does not bear any financial liability to the Participant in the event of suspension or cancellation of the Participant's access.

    2. Procedure and timing of the auction

      4.1.

      The auction is held in accordance with the procedure for conducting electronic auctions established by the legislation in force in the Russian Federation.

      To take part in the auction, the Participant must pay for the Organizer’s services in organizing access to the Electronic site for the next period, log into the Electronic site through an account using his login and password, select the lot he is interested in, read the information provided on the lot and make bet.

      4.5.

      The bid is changed by the Auction Participant on the page of the lot for which the auction is being held.

      4.6.

      The Participant's bid must exceed the "current bid" and cannot fall below the bid set by the person taking part in the auction. If necessary, the Organizer has the right to determine the minimum size of the “auction step” that the Participant can apply when submitting a bid.

      4.7.

      The auction organizer reserves the right to withdraw the Lot from the auction until the purchase and sale agreement is concluded with the Winner for the Lot in the following cases:

      4.7.1.

      If Lot, is the subject judicial trial;

      4.7.2.

      If during the auction it is established that the Lot is in pledge, wanted, under arrest, encumbered with other obligations and rights of third parties, or another restriction is established;

      4.7.3.

      In other cases that may serve as a basis for limiting the rights of the buyer and other interested parties.

      4.7.4.

      At the initiative of the Auction Organizer.

      4.8.

      The start and end times of bidding for each Lot are determined by the Organizer and published on the Electronic Platform.

      4.9.

      The auction period for each lot is at least 2 (two) days.

      4.10.

      During the bidding period, the Auction Organizer has the right to extend the bidding period. At the same time, notification of the extension of the auction is carried out by the Organizer by publishing the relevant information on the Electronic Platform on the lot page.

      Summing up and identifying the auction winner

      5.1.

      At the end of the auction, a Winner is automatically determined for each lot: the Auction Participant who offered the best (maximum) bid at the end of the auction. If at the end of trading there are equal maximum bets, The auction participant who placed an earlier bid on the lot is automatically recognized as the winner.

      5.2.

      Based on the results of the auction, within 24 hours, the Auction Organizer generates an information message that is sent by email to the Auction Participant recognized as the Winner: about the removal of the lot from sale or about confirmation of the Auction Participant’s right to purchase the lot, attaching a copy of the sales contract or indicating the contact information of the Organizer’s Representative auction in a specific region. From the moment of sending the specified information message, all rights and obligations of the Winner provided for by the Rules are transferred to the Participant

      5.3.

      The purchase and sale agreement is concluded with the Winner of the auction - a legal entity or an individual. An entry is made in the Vehicle Passport as the owner - the Winner Participant.

      5.4.

      The auction participant who is recognized as the auction winner and has signed the vehicle purchase and sale agreement acquires the status of a buyer.

      5.5.

      The Auction Organizer undertakes to ensure the safety of the Lot and its compliance from the moment the auction for the Lot begins until the actual transfer of the Lot to the Auction Winner.

      5.6.

      Bidding on a Lot is considered invalid if during the auction process on the Lot none of the Participants made a single bid.

      5.7.

      The auction winner does not have the right to refuse to pay for the Lot due to the discovery, after placing a bid on the lot page, of any defects, damage, or presence/absence in the lot's configuration.

      5.8.

      Payment is made by the Auction Winner within 5 (five) working days after sending the information message provided for in clause 4.2 to the Winner. of these Rules. Payment is made in non-cash form by transferring funds from the settlement account of a registered bidder, Auction Winner - legal entity / Auction Winner - individual to the Organizer's settlement account specified in the information message.

      5.9.

      In the event of failure by the Winner to pay for the Lot within the period stipulated by the Rules or the Winner’s refusal to pay for the Lot, the right to purchase the Lot may be transferred by the Organizer to the Participant who submitted the next highest bid after the Winner’s bid. . In this case, the relevant Participant will be assigned all the rights and obligations of the Auction Winner provided for by these Rules, and the procedure for interaction between the Winner and the Organizer provided for by the Rules will be repeated.

      5.10.

      If the Winner has not made payment for the Lot within the period specified in the Rules, or has refused to pay, then, at the discretion of the Organizer, sanctions may be applied to him in the form of suspension of access to the Electronic Platform for a period of 6 (six) months.

      5.11.

      In the event of a delay in payment for a lot by the Auction Participant, the Auction Organizer has the right to suspend access to the Electronic Platform until the Winner’s obligations for the won lots are fully fulfilled, taking into account the presence of letters of guarantee from the Winner for the fulfillment of obligations.

      5.12.

      The Organizer has the right to suspend the Participant’s access to the Electronic Platform in case of failure to fulfill the conditions described in clauses 4.8.-4.9. of these Rules, as well as in case of failure to ensure the removal of the vehicle/hot vehicle from the territory of the Organizer’s site within 3 (three) working days from the date of signing the purchase and sale agreement.

      5.13.

      The vehicle or GOTS, as well as the original documents confirming ownership, are transferred by the Auction Organizer to the Auction Winner under the acceptance certificate after payment for the lot and signing of the original purchase and sale agreement.

      5.14.

      When exercising the rights provided for in this section, the Organizer does not bear any financial liability to the relevant Participant.

      Other conditions

      6.1.

      The ownership of the transferred vehicle/hot vehicle in accordance with these Rules passes to the Auction Winner from the moment the Organizer/Organizer's representative transfers it to the Auction Winner under the Vehicle Acceptance and Transfer Certificate on the basis of the purchase and sale agreement. After transfer of the vehicle/hot vehicle to the auction winner, new owner bears full responsibility for the vehicle/hot vehicle transferred to him.

      6.2.

      After the transfer of the vehicle/hot vehicle to the auction winner, in the event of receipt of a receipt imposing a fine for violation of the Rules traffic or other offenses in the period after the transfer of the vehicle/GOTS by the Organizer to the Auction Winner under the Vehicle Acceptance and Transfer Certificate, the Organizer issues an information letter to the Winner demanding payment of a fine, and to provide information to the State Traffic Inspectorate of the Ministry of Internal Affairs of the Russian Federation for re-registration of the vehicle.. In this case, the Winner must within three days resolve the issue of paying the fine (pay the fine), as well as carry out registration actions at the State Traffic Inspectorate of the Ministry of Internal Affairs of the Russian Federation. A copy of the document confirming payment of the fine and the Vehicle Passport with notes on registration actions to the State Traffic Inspectorate of the Ministry of Internal Affairs of the Russian Federation, the new owner must send it to the email address.

      6.3.

      If the Auction Winner refuses to pay the fine and/or re-registration of the vehicle, as well as refusal to provide the Organizer with documents confirming payment of the fine and/or re-registration of the vehicle with the State Traffic Inspectorate of the Ministry of Internal Affairs of the Russian Federation, sanctions will be applied to him in the form of cancellation of access to the Electronic Platform and termination of the Agreement by the Organizer unilaterally, without the right to restore participation in the Internet auction system and any financial liability of the Organizer to the Winner. In addition, the Auction Organizer reserves the right to terminate the registration of vehicles/hot vehicles in accordance with the established procedure in connection with disposal.

      Fee for organizing participation in the auction

      7.1.

      To access the Electronic Platform, the Participant makes payment to the Organizer for its services provided for in this section.

      7.2.

      Payment for the Organizer's services in conjunction with other actions provided for by these Rules entitles the Participant to select vehicles, GOTS and take part in the Organizer's auctions for their acquisition into ownership for a period of 30 (thirty) calendar days.

      7.3.

      The amount of payment for the Organizer’s services in organizing the Participant’s access to the Electronic Platform for a 30-day period is 3,500 (three thousand five hundred) rubles.

      7.4.

      Payment is considered made from the moment of receipt specified in clause 6.3. of these Rules, the amount is transferred in full to the Organizer’s account.

      7.5.

      The next 30-day access period begins from the moment the Organizer receives a corresponding notification to the Participant’s email address after the Participant has deposited into the Organizer’s account an amount sufficient to pay the cost of the 30-day period specified in clause 6.3. of these Rules.

      7.6.

      If there is insufficient funds contributed by the Participant to pay for the Organizer’s services for the next 30-day period, the Participant’s access to the Electronic Platform is automatically suspended (blocked) until the missing amount is paid.

      7.7.

      The fee for organizing access to the Electronic Platform is paid by non-cash transfer of funds to the Organizer’s account.

      7.8.

      The amount of the previously paid fee for organizing access to the Electronic Platform is not returned to the Participant, including in the event of suspension (blocking) or cancellation of the Participant’s access to the Electronic Platform on the grounds provided for in the Rules, the Participant’s self-deletion of his account, termination or termination of the Agreement by the Participant or the Organizer in unilaterally.

      7.9.

      At the request of the Participant, the Organizer can provide a Certificate of Services Rendered for the relevant period of validity of the Agreement between the Participant and the Organizer.

    Appendix No. 1 to the Rules

    The Bidder grants the Auction Organizer the right to carry out all actions (operations) with personal data, including collection, systematization, accumulation, storage, clarification (updating, changing), use, transfer, depersonalization, blocking, destruction.     The Auction Organizer has the right, in fulfillment of its obligations to conduct an electronic auction, to transfer the Applicant’s personal data to third parties, provided that the Organizer has an agreement with these third parties ensuring the security of personal data during their processing and preventing the disclosure of personal data.

    By signing the Appendix, the Applicant consents to the processing of personal data from the moment of signing this Appendix to the Auction Rules. The Applicant's consent to the processing of personal data is valid for 10 years.
